Chemical Imbalance Copyright Policy



COPYRIGHT LICENSE AGREEMENT
Short Course Materials This Agreement made the 24th day of November, 2009, by and between Raul Armijo-Lopez and Martin Bailey Design for Chemical Imbalance.

THE AUTHOR AND THE INSTITUTION AGREE THAT:
1. Rights Granted
Non-exclusive Commercial License. The Author hereby grants to the Institution for the full term of this Agreement the non-exclusive right to copy, distribute, display, perform, transmit, publish and sell throughout the world educational short courses. The Author will continue to retain all rights in the copyright works.

The Institution will take delivery of the works from the Authors web site – www.chem-imbalance.com

4. Copyright
The Author shall allow the Institution to register copyright in the Work in the Author's name in Australia and elsewhere as the Institution may elect.

5. Author's Warranty
The Author warrants that he or she is the sole owner of the Work and has full power and authority to make this Agreement.

6. Consideration
In consideration of this Agreement, the Institution shall pay the Author a royalty of 4% on the sales price of all materials sold by the Institution. The Institution shall pay the Author semi-annually during the calendar year within 30 days of the end of each six month calendar period.

7. Term and Termination
(a) This Agreement shall remain in effect for five years unless terminated earlier in accordance with the failure of the parties to perform as defined below:
• Delivery of materials to the Institution by the Author as requested by the Institution for all works outlined in Section 2 of this agreement.
• Compliance with Section 6 by the Institution for proper and timely consideration to the Author.
(b) In the event that either party shall be in default of its material obligations under this Agreement and shall fail to remedy such default within sixty (60) days after receipt of written notice thereof, this Agreement shall terminate upon expiration of the sixty (60) day period.
(c) Upon the expiration of the term of this Agreement, the parties may agree to renew this Agreement for an additional five year term, upon the same terms and conditions as set forth herein.

8. Construction, Binding Effect, and Assignment
This Agreement shall be construed and interpreted according to the laws in the State of New South Wales, Australia and shall be binding upon the parties hereto, their heirs, successors, assigns, and personal representatives; and references to the Author and to the Institution shall include their heirs, successors, assigns, and personal representatives.
